These Terms and Conditions govern your use of our website www.phppayroll.com, PHPPayroll Cloud Edition, PHPPayroll Open-Source Edition, and all related services. By accessing or using PHPPayroll, you agree to be bound by these Terms. If you do not agree, please stop using our services immediately.
1. Acceptance of Terms
By using PHPPayroll, you confirm that you have read, understood, and agreed to these Terms and Conditions. If you are using the platform on behalf of a business, you represent that you have the authority to bind them to these Terms.
2. Products and Services
PHPPayroll provides two software editions:
- PHPPayroll Cloud Edition – A fully hosted, subscription-based payroll and HR system.
- PHPPayroll Open-Source Edition – A self-hosted, downloadable version for developers and businesses who want full control.
We may add, remove, or modify features at any time.
3. User Responsibilities
You agree to:
- Provide accurate account and business information
- Maintain confidentiality of your login credentials
- Use PHPPayroll lawfully and responsibly
- Follow all applicable local, national, or payroll-related regulations
You are solely responsible for all activity under your account.
4. Cloud Edition – Usage Terms
If you subscribe to PHPPayroll Cloud, the following terms apply:
- You receive access to the hosted cloud platform for the duration of your paid subscription.
- We manage hosting, backups, updates, and system maintenance.
- You must not misuse, disrupt, or overload the server environment.
- Your subscription must remain active to maintain full access to your data and account.
Data Retention for Expired Cloud Accounts
If your cloud subscription expires, your account will be suspended immediately. All stored data will be permanently deleted after 7 days from the expiration date. Once deleted, the data cannot be recovered under any circumstances.
Failure to renew on time may result in irreversible data loss.
5. Open-Source Edition – Usage Terms
For users of the Open-Source Edition:
- You are responsible for installation, customization, security, hosting, and backups.
- We do not access, store, or retrieve your payroll data unless voluntarily shared for support.
- You may modify the source code for your own use.
- You may not replicate, resell, or distribute the software without prior written permission.
6. Payments and Refund Policy
- Payment for PHPPayroll Cloud subscriptions and related services must be made in advance.
- All payments are non-refundable unless explicitly stated in a written agreement.
- Pricing may change with prior notice posted on our website or sent by email.
Non-payment may result in suspension or termination of services.
7. Intellectual Property
All trademarks, content, website materials, branding, and proprietary elements of PHPPayroll excluding the open-source components are owned by PHPPayroll.
You agree not to:
- Copy
- Reproduce
- Modify
- Distribute
- Reverse-engineer
- Sell any part of the software or website materials
without written authorization.
8. Data Protection & Privacy
Your use of the platform is governed by our Privacy Policy, available on our website. Cloud users benefit from our security measures, while Open-Source users are responsible for protecting their own data.
9. Third-Party Services
PHPPayroll may integrate with or rely on third-party systems such as hosting providers, payment gateways, or analytics tools. We are not responsible for the actions, failures, or policies of any third-party service.
Use of these third-party services is at your discretion and risk.
10. Limitation of Liability
To the fullest extent permitted by law, PHPPayroll is not liable for:
- Loss of data
- Downtime or service interruption
- Direct, indirect, or incidental damages
- Errors caused by third-party systems or self-hosted installations
- Issues caused by custom code, integrations, or modifications
Your use of the software is at your own risk.
11. Disclaimer of Warranties
PHPPayroll is provided “as is” and “as available”. We do not guarantee:
- Uninterrupted operation
- Error-free performance
- Fitness for any specific purpose
- Accuracy or completeness of information
Use of the platform is solely at your discretion.
12. Termination or Suspension
We may suspend or terminate your access if:
- You violate these Terms
- Payment is not received
- You misuse or abuse the platform
- Required by law or regulatory authority
You may stop using our services at any time.
13. Changes to Terms and Conditions
We may update or modify these Terms at any time, with or without prior notice. Changes take effect immediately upon being posted on our website.
Your continued use of our website or services after any update constitutes acceptance of the revised Terms and Conditions.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of Delhi, India. Any disputes arising out of or related to these Terms or the use of PHPPayroll will be handled exclusively by the courts located in Tis Hazari Court, Delhi, India.
